These Terms of Use (“Terms”) apply to your use of Unlock by BeforeSunset (the “App” or “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

BeforeSunset Inc. (“BeforeSunset,” “we,” “us,” or “our”) operates the Service. The Service includes the Unlock mobile application and any related features, content, and services we make available through the App (collectively, the “Service”).

If you are using the Service on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “you” and “your” refer to both you and that entity.

‍1. General

Individuals and entities who use the Service are “Users.” The Service may change over time as we add, remove, or improve features. We may modify, suspend, or discontinue the Service (in whole or in part) at any time. Where required by applicable law, we will provide notice. A “Device” means any compatible device used to access the Service, such as a mobile phone or tablet. Our Privacy Policy explains how we collect, use, and protect information about you. By using the Service, you acknowledge that you have read and understood the Privacy Policy, and that it forms part of these Terms.

2. Fees & Subscriptions

Certain features of the Service require a paid subscription. Unlock currently offers monthly and yearly subscription plans, as presented in the App at the time of purchase. All payments are processed through Apple’s In-App Purchase system and managed via RevenueCat. Apple is the merchant of record and handles billing, renewals, cancellations, and refunds in accordance with its App Store policies. Subscriptions automatically renew unless cancelled by you through your Apple ID subscription settings before the end of the current billing period. No free trial is offered, unless explicitly stated in the App at the time of purchase.

Refunds: We do not issue refunds directly. Any refund requests are subject to Apple’s refund policy and must be made through Apple.

Price changes: We may change subscription prices from time to time. Where required by law or App Store rules, we will provide advance notice. Any price changes will apply only to future billing periods.

3. Ownership of and Responsibility for Content

For purposes of these Terms, “Content” means any text, information, data, materials, or other content that is created, uploaded, submitted, generated, or otherwise made available through the Service. Content created or provided by users is referred to as “User Content.” You retain ownership of your User Content. Except for the limited rights expressly granted to us under these Terms, we do not claim ownership of your User Content. You are solely responsible for your User Content and for maintaining appropriate backups. To the fullest extent permitted by law, BeforeSunset Inc. is not responsible or liable for any loss, corruption, or damage to User Content, or for any consequences resulting from your use of the Service. We do not have an obligation to monitor User Content, but we reserve the right to remove, restrict, or modify User Content at any time if we believe it violates these Terms, applicable laws, or poses a risk to the Service or other users. If you choose to share your User Content with third parties or authorize others to access it through the Service, you acknowledge and agree that we are not responsible for how those third parties use your User Content.

4. Limited License of User Content

You retain ownership of your User Content. However, to operate, maintain, and improve the Service, you grant BeforeSunset Inc. a limited, non-exclusive, royalty-free license to host, store, process, reproduce, and display your User Content, solely as necessary to provide the Service and its features.

This license includes using your User Content to:

• generate plans, suggestions, and outputs within the App;

• process content through AI-powered features and agents;

• enable syncing, backup, and functionality across supported devices.

This license does not transfer ownership of your User Content to us.

You represent and warrant that:
(a) you own or have all necessary rights to submit and use the User Content; and
(b) your User Content does not violate any applicable law, these Terms, or the rights of any third party.

AI Training: Your User Content is not used to train machine learning or AI models.

Our collection and use of personal data related to User Content are further described in our Privacy Policy.

5. Our Intellectual Property

The Service, including the App, software, design, features, and all related technology and content (excluding User Content), is owned by BeforeSunset Inc. or its licensors and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes, subject to these Terms. No ownership rights are transferred to you.

You may not:

• copy, modify, reverse engineer, or create derivative works of the Service;

• sell, resell, rent, lease, or sublicense the Service;

• use our trademarks, logos, or brand features without our prior written consent.

Feedback: If you choose to provide feedback, suggestions, or ideas about the Service, you agree that we may use them without restriction or obligation to you.

6. Account Security

To use the Service, you must create an account using a valid email address or by signing in through a supported third-party authentication provider, such as Apple or Google (“Third-Party Login”). If you choose to sign in using a Third-Party Login, we may receive certain information from that provider, such as your email address and a unique identifier, in accordance with your settings and the provider’s privacy policy. You are responsible for maintaining the confidentiality of your account and for all activity that occurs under your account, whether or not you authorized that activity. You agree not to share your login credentials or access tokens with anyone else. If you believe your account has been accessed without authorization, you must notify us immediately at support@beforesunset.ai. While we take reasonable measures to protect the security of the Service, no system is completely secure. You acknowledge that the use of the Service involves inherent security risks and that you use the Service at your own risk.

7. Software and Updates

The Service is provided through a mobile application that you download to your device (the “App”). Subject to your compliance with these Terms, BeforeSunset Inc. grants you a limited, non-exclusive, non-transferable, revocable license to download and use the App solely for your personal or internal business use and only as permitted by these Terms.

You may not:

• copy, modify, or create derivative works of the App;

• reverse engineer, decompile, or attempt to extract the source code of the App, except where such restriction is prohibited by law.

The App may automatically download and install updates from time to time to improve performance, security, or functionality. You agree to receive such updates as part of your use of the Service.

8. Acceptable Use Policy

You agree to use the Service responsibly and in compliance with applicable laws. You must not misuse the Service or attempt to do so. In particular, you agree not to:

• use the Service for any unlawful, fraudulent, misleading, or deceptive purpose;

• upload, submit, or share content that infringes the intellectual property, privacy, or other rights of others;

• upload or distribute content that is abusive, hateful, harassing, discriminatory, violent, or otherwise harmful;

• attempt to gain unauthorized access to the Service, user accounts, or related systems;

• interfere with or disrupt the operation or security of the Service, including by introducing malware or harmful code;

• scrape, crawl, or access the Service using automated means without our permission;

• send spam, phishing messages, or unsolicited communications;

• impersonate another person or misrepresent your affiliation with any individual or entity.

Sensitive personal data: You should not upload highly sensitive personal data (such as health information, government-issued identification numbers, or financial account details). If you do so, you do so at your own risk.

Children: The Service is not intended for children under the age of 13, and you may not allow anyone under 13 to use the Service.

We may suspend or terminate access to the Service if we reasonably believe that you have violated this section.

9. Copyright

We respect the intellectual property rights of others, and we expect you to do the same. If we receive a valid notice alleging that content available through the Service infringes someone’s copyright, we may remove or disable access to that content in accordance with applicable law. We also reserve the right to suspend or terminate accounts of users who are repeat infringers.

10. Other Content

The Service may include links to third-party websites, services, or resources. These are provided for convenience only. We do not control, endorse, or assume responsibility for any third-party content, products, or services. Your use of third-party websites or services is at your own risk and subject to their own terms and policies.

11. Termination and Suspension

You may stop using the Service at any time. You may also delete your account through the App or by contacting us at support@beforesunset.ai. We reserve the right to suspend or terminate your access to the Service if we reasonably believe that:

• you have violated these Terms;

• your use of the Service poses a security, legal, or operational risk; or

• we are required to do so by law.

Where reasonably possible, we will provide advance notice of suspension or termination. However, in certain cases (such as serious or repeated violations, legal requirements, or risk to other users), suspension or termination may occur immediately. The Service may occasionally be unavailable due to maintenance, updates, or technical issues. While we aim to keep the Service available, we do not guarantee uninterrupted access. You are responsible for maintaining your own backups of User Content. The Service is not intended to function as a backup solution.

Survival: Sections relating to intellectual property, user content, disclaimers, limitation of liability, and other provisions that by their nature should survive will continue to apply after termination.

12. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless BeforeSunset Inc. from and against any third-party claims, damages, losses, and reasonable legal fees arising out of:

• your User Content;

• your use of the Service in violation of these Terms; or

• your misuse of the Service in a way that causes harm to others.

This obligation applies only to the extent such claims result from your actions or omissions.

13. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, BeforeSunset Inc. disclaims all warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or that it will meet your expectations. Use of the Service is at your own risk. You are responsible for maintaining backups of your User Content. We are not responsible for loss or corruption of data except where required by law. Some jurisdictions do not allow certain warranty disclaimers, so some of the above limitations may not apply to you.

14. Limitation of Liability

To the fullest extent permitted by applicable law, BeforeSunset Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or business interruption, arising out of or related to your use of the Service. To the extent permitted by law, BeforeSunset Inc’s total liability for any claims arising out of or relating to the Service will not exceed the amount you paid for the Service during the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.

15. Force Majeure

BeforeSunset Inc. will not be liable for any failure or delay in performance to the extent caused by events beyond our reasonable control, including natural disasters, acts of government, network or telecommunications failures, or other unforeseeable events.

16. Confidential Information

From time to time, we may share non-public information about the Service with you (for example, through support communications or early access features). You agree not to disclose or misuse any such information unless we make it public or give you permission to do so. This obligation does not apply to information that is publicly available through no fault of yours.

17. Modifications

We may update these Terms from time to time. If we make material changes, we will provide notice through the App and/or by email. The most current version will always be available within the App or on our website. By continuing to use the Service after changes take effect, you agree to the updated Terms.

18. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets, or by operation of law.

19. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws principles. This does not affect any mandatory consumer protection rights that may apply under the laws of your country of residence.

20. Entire Agreement

These Terms, together with the Privacy Policy and any policies referenced herein, constitute the entire agreement between you and BeforeSunset Inc. regarding the Service and supersede any prior agreements or understandings.

21. Notices

We may provide notices to you electronically, including through the App or by email to the address associated with your account. You agree that electronic notices satisfy any legal communication requirements.

22. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

23. Waiver

Our failure to enforce any provision of these Terms will not be considered a waiver of our right to enforce that provision later.

24. Relationship

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and BeforeSunset Inc. The parties are independent contractors.
